Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Brisk website at https://www.staybrisk.com, the Brisk application at https://app.staybrisk.com, and related services provided by Stay Brisk (“Stay Brisk,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Brisk is a web-based workspace that helps freelancers and small service teams create and send invoices, manage clients, track invoice activity, send payment reminders, and related business admin. Features may change over time as we improve the product.

2. Eligibility and accounts

  • You must be at least 16 years old and able to form a binding contract to use the Service.
  • You are responsible for the accuracy of registration information and for keeping your login credentials secure.
  • You are responsible for all activity that occurs under your account.
  • Notify us promptly if you suspect unauthorized access to your account.

3. Plans, billing, and payments

Free and paid plans

Brisk offers free and paid subscription plans, as described on our pricing page. Plan features, limits, and pricing may change. If a change materially reduces paid features you rely on, we will provide reasonable notice where required.

Subscriptions

  • Paid plans renew automatically at the interval you select unless you cancel before the renewal date.
  • Fees are billed in advance and, except where required by law, are non-refundable once a billing period has started.
  • Taxes may apply depending on your location.
  • We may use third-party payment processors such as Stripe to handle billing and card payments.

Client payments

If you enable card payments for your clients, those transactions are processed by third-party payment providers. You are responsible for complying with applicable payment, tax, and invoicing laws, and for the accuracy of amounts, descriptions, and client details on invoices you send.

4. Acceptable use

You agree not to:

  • Use the Service for unlawful, fraudulent, or harmful purposes.
  • Send spam, deceptive invoices, or communications that violate applicable law.
  • Attempt to access accounts, data, or systems without authorization.
  • Reverse engineer, scrape, or interfere with the normal operation or security of the Service.
  • Upload malware or content that infringes intellectual property or privacy rights.
  • Resell or sublicense the Service except as expressly permitted by us.

We may investigate and suspend or terminate access for conduct that violates these Terms or creates risk for us, other users, or third parties.

5. Your content

You retain ownership of the content you submit to Brisk, including client records, invoice text, files, and branding (“Customer Content”). You grant Stay Brisk a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service, including sending invoices and reminders on your behalf.

You represent that you have the rights needed to submit Customer Content and that your use of the Service does not violate law or third-party rights. You are solely responsible for the content of invoices and communications sent to your clients.

6. Our intellectual property

The Service, including software, design, branding, and documentation, is owned by Stay Brisk or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no license is granted to you.

7. Third-party services

The Service may integrate with or link to third-party services. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services and do not control how they operate.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Stay Brisk disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Brisk helps you manage invoicing workflows, but we do not provide legal, tax, or accounting advice. You are responsible for determining whether invoices, reminders, and payment flows meet your professional and legal obligations.

9. Limitation of liability

To the fullest extent permitted by law, Stay Brisk will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising from your use of the Service.

To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) USD $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You will defend, indemnify, and hold harmless Stay Brisk from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Content, invoices or communications sent through Brisk, or your violation of these Terms or applicable law.

11. Suspension and termination

  • You may stop using the Service at any time and may cancel a paid subscription according to the billing settings in your account.
  • We may suspend or terminate access if you materially breach these Terms, create security or legal risk, or if we discontinue the Service.
  • Upon termination, your right to use the Service ends. Provisions that by nature should survive termination will remain in effect.

12. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice through the Service or by email where appropriate. Continued use after the effective date of updated Terms constitutes acceptance, except where prohibited by law.

13. Governing law and disputes

These Terms are governed by the laws applicable to Stay Brisk, without regard to conflict-of-law rules. Disputes should first be raised with us at hello@staybrisk.com so we can try to resolve them informally.
